1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the Synergy Smart Care Platform ("the Platform"), operated by HAA Synergy Limited / How AI Assist Limited ("we", "us", or "our"). The Platform provides AI-driven forensic clinical assessment of home accessibility compliance for medical professionals.

By registering an account or accessing the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform. These Terms are issued in accordance with applicable laws of the United Kingdom and the European Union.

2. Definitions

• "Platform" — The Synergy Smart Care web application and all associated services.
• "User" — A registered medical professional or administrator granted access to the Platform.
• "Assessment Data" — All data uploaded, generated, or stored during accessibility assessments, including resident photographs, structural measurements, and compiled reports.
• "Authorised Professional" — A qualified Occupational Therapist, Architect, or clinician with appropriate credentials.

3. Eligibility and Account Registration

Access to the Platform is restricted to authorised medical professionals, clinicians, and administrators ("Authorised Users"). By registering an account, you confirm that:

• You are at least 18 years of age;
• You hold appropriate professional qualifications to perform home accessibility assessments;
• All information provided during registration is accurate and complete;
• You are authorised by your organisation to use this Platform on its behalf.

We reserve the right to refuse or terminate access at our sole discretion, including where professional credentials cannot be verified.

4. User Obligations and Acceptable Use

You agree to use the Platform in compliance with all applicable UK and EU laws, including but not limited to:

• The Data Protection Act 2018 and UK GDPR;
• The EU General Data Protection Regulation (Regulation 2016/679);
• The Equality Act 2010;
• The Human Rights Act 1998;
• All relevant healthcare professional conduct standards.

You must not:

• Use the Platform for any unlawful, fraudulent, or unauthorised purpose;
• Upload content that infringes the intellectual property rights of any third party;
• Attempt to gain unauthorised access to any part of the Platform, its systems, or networks;
• Share your account credentials with any other person;
• Use the Platform in any manner that could damage, disable, or impair its functionality.

5. Professional Disclaimer

The Platform generates automated decision-support assessments based on user-provided data and site image analysis. The contents of any assessment report are for informational purposes and reference onlyand do not replace a formal on-site assessment by a qualified Occupational Therapist or a registered Architect.

All structural interventions must be implemented under the guidance of qualified professionals and in compliance with local building regulations. HAA Synergy Limited / How AI Assist Limited assumes no legal liability for engineering interventions implemented without professional verification.

6. Data Protection and Privacy

Your use of the Platform is subject to our Privacy Policy, which describes how we collect, process, and protect personal data in accordance with UK GDPR and EU GDPR. Please review our Privacy Policy for full details.

7. Intellectual Property

All intellectual property rights in the Platform, including its design, software, AI models, and compiled report templates, are owned by HAA Synergy Limited / How AI Assist Limited. Assessment Data uploaded by Users remains the property of the User or their organisation, subject to the licences granted herein.

You grant us a non-exclusive licence to process Assessment Data solely for the purpose of providing the Platform's services, including AI analysis, report generation, and data storage.

8. Subscription and Fees

Access to the Platform may be subject to subscription fees as agreed between your organisation and HAA Synergy Limited. Fees, billing cycles, and payment terms are set out in your service agreement. All fees are payable in accordance with the agreed terms.

9. Service Availability

We strive to maintain high availability of the Platform but do not guarantee uninterrupted access. We may temporarily suspend access for maintenance, updates, or security reasons. We are not liable for any loss arising from temporary unavailability.

10. Limitation of Liability

To the maximum extent permitted by law, HAA Synergy Limited / How AI Assist Limited shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform, including but not limited to loss of profits, data, or business interruption.

Our total aggregate liability arising from or related to these Terms shall not exceed the fees paid by your organisation for the Platform in the twelve (12) months preceding the claim.

11. Termination

You may terminate your account at any time by contacting your system administrator. We may suspend or terminate access immediately if you breach these Terms, if your account is inactive for 15 minutes or more (auto-logout), or if required by law.

Upon termination, your right to access the Platform ceases immediately. Assessment Data will be handled in accordance with our data retention policy as set out in the Privacy Policy.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to your statutory rights as a consumer under EU law.

13. Changes to These Terms

We may update these Terms from time to time. We will notify Users of material changes via the Platform or by email. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
